A 4 session 17-hour Series for individuals with 10+ years management/professional experience and small/medium not-for-profit board experience who are now interested in exploring large not-for-profit, public sector and small/medium private company board service.

Key Responsibilities

Learn about the importance of ethics, the distinction between ethics and legal behavior. This course also outlines the various roles on a board, including the Board Chair, Committee Chairs, and the Corporate Secretary. You will learn about the five key responsibilities associated with being a board member: (1) guiding or approving the organizational strategy, (2) determine the allocation of resources under uncertainty to (3) achieve performance, (4) understand risk, and (5) be transparent about what the organization does and how it does it, and communicate key information to stakeholders. We will also discuss the board best practices, preparation for annual general meetings, quorum, and the decision making process on boards.

Duties and Liabilities Learn from our legal experts about corporations, non-share capital and crown capital structures and where Directors fit into these structures. You will also learn about Directors’ fiduciary duties, Directors’ Duty of Care, and the Civil and Statutory Liabilities associated with being a Director. Our legal experts will also share steps you can take to protect against these liabilities.

Go vernance

Learn about the difference between incorporated and non-profit corporations. Hear from experienced Directors about how boards operate and understand the distinction between oversight and management. In this module, we outline the fiduciary role of boards and prepare you to identify, manage and mitigate risk. We outline key considerations before joining a board and the due diligence process to find the right board for you.

Personal Action Plan and Board Resume Get individualized coaching from a professional coach and facilitator to develop your personalized action plan to achieve your board career objectives. The coach will help you create a board resume which the CBDC will forward to the Maytree Foundation as well as Odgers Berndtson and Korn/Ferry for consideration in board searches.
